Terms of Service

Review the terms and conditions for using Vault Commander software.

VaultCommander – Terms of Service and End User License Agreement

Last updated: December 4, 2024

These Terms of Service and End User License Agreement (collectively, the “Terms“) govern your use of the VaultCommander software application and any related services (collectively, “VaultCommander“, the “Software“, or the “Service“).

By installing, accessing, or using VaultCommander, you agree to be bound by these Terms. If you do not agree, do not install or use VaultCommander.


1. Eligibility

You may use VaultCommander only if:

  • You are at least the age of majority in your jurisdiction, and
  • You are capable of entering into a binding contract.

If you are using VaultCommander on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.


2. Description of VaultCommander

VaultCommander is a desktop application designed to help you organize your files, including via:

  • Manual file sorting and organization tools; and
  • Optional automated organization using offline AI models running locally on your device.

VaultCommander is designed to operate primarily offline. Online connectivity is generally limited to:

  • Sign-in or authentication via WebView2, and
  • Optional integrations you choose to enable with third-party cloud services such as Google Drive, Dropbox, or Microsoft OneDrive.

VaultCommander does not upload or otherwise transmit the contents of your files to VaultCommander’s servers. Your files remain under your control, stored locally or in your own third-party cloud accounts, as you configure them.


3. Accounts, Licensing, and Access

Some features of VaultCommander may require you to:

  • Purchase a license; and/or
  • Activate the Software using a license key; and/or
  • Sign in using an account or an authentication flow provided via WebView2.

You are responsible for:

  • Keeping your license keys and any login credentials secure;
  • Ensuring that only authorized users use your license; and
  • Complying with any license limitations (such as number of devices or users).

VaultCommander licenses are granted, not sold. You do not acquire any ownership rights in the Software itself.


4. Fees, Payments, and No Refunds

4.1 Fees and Payment Processing

If VaultCommander is offered as a paid product, you agree to pay all applicable fees for licenses and services. Payments may be processed by one or more third-party payment processors on our behalf.

By submitting payment information, you authorize us and our payment processors to charge your payment method for all fees and applicable taxes.

4.2 No Refunds

Except where required by applicable law, all purchases, license fees, and other payments for VaultCommander are final and non-refundable.

It is your responsibility to ensure that VaultCommander meets your needs before completing a purchase (for example, by reviewing documentation, trials, or demos if available).

4.3 Taxes

You are responsible for any applicable taxes related to your purchase, excluding taxes based on our net income.


5. Data Collection and Privacy

5.1 What We Collect

VaultCommander is designed to collect and retain only minimal information, primarily for:

  • Point-of-sale and licensing; and
  • Accounting and compliance (including IRS and similar tax authorities).

Specifically, we may collect and store:

  • Name (e.g., as provided at checkout)
  • Email address
  • Billing address (if you choose to provide it)
  • Phone number (if you choose to provide it)
  • Payment-related information (processed via third-party payment processors; we typically do not store full card details ourselves)
  • Transaction information (e.g., purchase date, amount, product/license purchased, invoice details)

We use this information only for:

  • Issuing and managing license keys;
  • Providing you with basic account-related communication (e.g., receipts, license information, important notices); and
  • Recordkeeping and compliance with tax and legal obligations (including IRS requirements).

5.2 What We Do Not Collect or Access

We do not:

  • Collect the contents of your files that you manage or organize with VaultCommander;
  • Use, upload, or view the contents of those files;
  • Use your files or file metadata to train any models or for analytics or advertising;
  • Retain any other personal files or similar content you process via VaultCommander.

Your files remain offline and under your control, stored locally on your system or in your own third-party cloud storage accounts that you connect directly.

5.3 Offline AI and Local Processing

VaultCommander’s AI-based features are designed to run locally on your device. The intent is that your file contents are processed offline and are not transmitted to VaultCommander’s servers.

You are responsible for ensuring that your device environment is secure and that you use VaultCommander in a manner consistent with your own internal policies and legal obligations.

5.4 Third-Party Services and Privacy

If you choose to integrate third-party services such as Google Drive, Dropbox, or OneDrive, you understand and agree that:

  • Your use of those services is governed by their own terms and privacy policies;
  • Any authentication or tokens may be handled via the third-party’s systems and/or your local environment; and
  • VaultCommander is not responsible for how those third parties handle your data.

5.5 Data Retention

We retain account and transaction information only as long as necessary for:

  • License management;
  • Providing you access to your purchase records; and
  • Complying with applicable tax, auditing, and legal obligations.

5.6 Privacy Policy

We may publish a more detailed Privacy Policy. In the event of any conflict between these Terms and a separate Privacy Policy, the Privacy Policy will govern our handling of personal data.


6. License Grant and Restrictions

6.1 License Grant

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use VaultCommander:

  • For your own internal, personal, or business use; and
  • On the number of devices, users, or environments permitted by your license.

6.2 Restrictions

Except as expressly permitted by law or by us in writing, you may not:

  • Copy, distribute, or make VaultCommander available to any third party, except as allowed by your license;
  • Sell, resell, rent, lease, sublicense, or otherwise commercialize VaultCommander as a service to others;
  • Modify, adapt, translate, or create derivative works based on VaultCommander;
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of VaultCommander, except to the extent such restriction is prohibited by applicable law;
  • Remove, obscure, or alter any proprietary notices, labels, or branding in the Software;
  • Use VaultCommander for any illegal purpose, or in violation of any applicable law or regulation.

6.3 Updates

We may provide updates, patches, or new versions of VaultCommander. Unless we specify otherwise, these Terms apply to any such updates. We are not obligated to provide updates or ongoing support.


7. User Content and File Responsibility

You retain all rights to your own files and content that you manage using VaultCommander (“User Content“).

You are solely responsible for:

  • Ensuring you have the rights and permissions to access and organize the User Content;
  • Complying with all applicable laws regarding your content (including copyright, data protection, and confidentiality);
  • Maintaining backups of your data and files.

VaultCommander does not provide a backup or archival service. We are not responsible for any loss, corruption, or damage to your files.


8. Third-Party Services and Integrations

VaultCommander may interoperate with or provide optional connections to third-party services (e.g., Google Drive, Dropbox, OneDrive).

You acknowledge and agree that:

  • Third-party services are not under our control;
  • We are not responsible or liable for third-party services, their availability, or their behavior; and
  • Your use of any third-party service is solely between you and that third party.

If a third-party service becomes unavailable or changes its APIs or terms, we are not obligated to maintain or re-establish that integration.


9. Intellectual Property

All rights, title, and interest in and to VaultCommander, including but not limited to:

  • Software code, architecture, and design;
  • User interface and visual design;
  • Documentation, logos, trademarks, and branding;

are owned by the creator(s)/owner(s) of VaultCommander or their licensors, and are protected by applicable intellectual property laws.

Other than the limited license granted to you in these Terms, no rights in or to VaultCommander are granted to you, whether by implication, estoppel, or otherwise.

“VaultCommander” and any associated logos or marks are trademarks or service marks of the owner of VaultCommander. You may not use these marks without prior written permission.

You retain ownership of your User Content; these Terms do not give us any ownership rights over your files.


10. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF VAULTCOMMANDER IS AT YOUR SOLE RISK.

VAULTCOMMANDER IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF:

  • MERCHANTABILITY,
  • FITNESS FOR A PARTICULAR PURPOSE,
  • TITLE, AND
  • NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • VAULTCOMMANDER WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • VAULTCOMMANDER WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR
  • VAULTCOMMANDER WILL BE COMPATIBLE WITH YOUR HARDWARE, SYSTEM, OR OTHER SOFTWARE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH VAULTCOMMANDER SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.


11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE VAULTCOMMANDER, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF VAULTCOMMANDER SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR VAULTCOMMANDER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.


12. Indemnification

You agree to indemnify, defend, and hold harmless the owner(s) and developer(s) of VaultCommander, and their affiliates, officers, directors, employees, contractors, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to:

  • Your use of VaultCommander;
  • Your violation of these Terms; or
  • Your violation of any applicable law or the rights of any third party (including intellectual property or privacy rights) in connection with your use of VaultCommander or your User Content.

13. Term and Termination

These Terms are effective from the time you first install or use VaultCommander and continue until terminated.

We may suspend or terminate your license or access to VaultCommander, in whole or in part, immediately and without notice if:

  • You violate these Terms;
  • You misuse or attempt to circumvent license restrictions; or
  • Required by law or by a third-party service provider.

Upon termination:

  • Your license to use VaultCommander ends; and
  • You must stop using VaultCommander and, if requested, uninstall it from your devices.

Termination will not limit any of our other rights or remedies under law.


14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of laws principles.

You agree that any disputes arising out of or in connection with these Terms or your use of VaultCommander shall be subject to the exclusive jurisdiction of the courts located in Visalia, California, USA, and you hereby consent to the personal jurisdiction of such courts.


15. Changes to VaultCommander and These Terms

We may modify or update:

  • VaultCommander (including features, functionality, or integrations); and/or
  • These Terms,

from time to time.

When we make material changes to these Terms, we will use reasonable efforts to notify you (for example, by updating the “Last updated” date, in-app notice, or email where possible). Your continued use of VaultCommander after changes become effective constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using VaultCommander.


16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.


17. No Waiver

Our failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision in the future.


18. Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, restructuring, or sale of assets.


19. Entire Agreement

These Terms (and any additional policies or terms we reference, such as a separate Privacy Policy) constitute the entire agreement between you and us with respect to VaultCommander and supersede all prior or contemporaneous understandings or agreements regarding the Software.
